I understand that A, B and C should definitely be disclosed, but shouldnt D as well? arent you supposed to disclose ALL INVESTMENT BANKING ACTIVITIES, isnt D an investment banking activity?

I think it was because their participation in the ipo was in the past and has little bearing on the current situation. (also weren’t underwriters.) the ipo already happened, they are not currently involved in a deal, they already disclosed ownership of stock, so participation on a past ipo in any capacity seems irrelevant. also, we DEFINITELY know that you have to disclose a,b, and c, so D just seems like the best answer…
