Corporate Governance - Board of Directors

How frequently must the board meet? Where is this discussed - CFA page? Schweser page? Thanks!

The text mentions the board must meet “regularly” but the AF consensus seems to be quarterly.

I think I read somewhere that it should be every 6 months… I don’t think there is a “must” in this.

I think I’ve read “every six months” as well. You going to make it Rain on June 5th or are you pretty uneasy Rainmaker?

I would say quarterly. I just did an EOC Q last night that said the board met the first time in 6months and the answer essentially said that time between meetings was too long.

Right, I remember that question. Odd that this is not black and white and we are forced to use the implied meaning that we backed out of a question. Thanks for the input everyone! Reggie: I plan to bring an umbrella.

I remember reading "atleast annually " or more frequently if the situation demands ( not sure if i read it in ethics or CF)

I also remember reading in the CF book that the board should meet at least annually.

I used the instructor link - Schweser - here is the answer I got. I don’t think any stated requirement exists, but quarterly would be very natural (i.e. consider financial statements and dividends.)

The book states at least annually, but best practices dictate quarterly. all the questions I have had indicate the board meet quarterly even though it’s only a “best practice”
