are directors elected by shareholders??
are the number of director you control reflect the number you share you have? for example, if you onw 30% of share, then you should have contorlled 3 directors out of 10 directors in a board?
someone tell me that independent non executive director (INED) represent interest of small investor, non executive director (NED) represent interest of major shareholder, is this true?? if yes, then who is executive directors representing?
if a major shareholder has assigned 3 director in a board and he is against a share issuance plan that will dilute his control but will greatly improve the performance of the company, should these 3 directors vote for or vote against it ?
