difference between spin-offs and split-offs

what is the difference between spin-offs and split-offs? It seems the shareholders all receive the new company’s shares…

in a split off the shareholders receive shares of the new company in exchange for a portion of the shares in the parent company; i don’t think they need do any kind of exchange like that in a spin off

i guess he didnt have the book. spin off–shares of subsidariry given to current shareholders of parent in exchange for nothing split off – share of subsidiary given to current shareholders in exchange for shares of parent
