can someone explain?

Essentially you CAN act on a combination of material public info in combination with non-material non public info to make investment decisions. Just say for example you see the CEO’s of two companies having lunch together (non material non public info.), depsite the fact that this in non public information, if it in combination with other analyisis you have already done (material public info.) leads you to the decision that one company is going to take over the other. You CAN act on this information (you have not broken any rules regarding trading on insider info.)…make sense?

you’re NOT allowed to use material non-public information… however, you ARE allowed to use immaterial non-public info, if, combined with your own other resources, it becomes material…

all these double negatives does my head in
